Datavault AI Acquires CyberCatch in $94.5M Cash Deal to Bolster Quantum Security

Cash remains the ultimate validator in enterprise tech consolidation. Data monetization and real-world asset tokenization specialist Datavault AI Inc. (NASDAQ: DVLT) has entered into a definitive agreement to acquire 100% of CyberCatch Holdings, Inc. (TSXV: CYBE / OTCQB: CYBHF) in an all-cash buyout valued at $94.5 million USD.

Under the definitive terms, Datavault AI Inc. (NASDAQ: DVLT) will purchase approximately 26.8 million issued and outstanding common shares of CyberCatch Holdings, Inc. (TSXV: CYBE / OTCQB: CYBHF) at USD $3.53 per share. All outstanding dilutive securities will be exchanged on a cashless-exercise basis. The transaction is structured as a court-approved plan of arrangement under British Columbia’s Business Corporations Act. Upon closing, CyberCatch will operate as a wholly-owned subsidiary out of San Diego, California.

The strategic timing aligns directly with an accelerating threat landscape.

According to the 2026 Global Threat Report from CrowdStrike Holdings, Inc. (NASDAQ: CRWD), AI-enabled adversary attacks escalated 89% year-over-year in 2025. Average eCrime breakout times, the window between initial network penetration and data exfiltration, fell to just 29 minutes, representing a 65% gain in adversary velocity compared to 2024. Research firm Gartner, Inc. (NYSE: IT) previously projected worldwide information security spending to reach $213 billion in 2025, underscoring the expanding market opportunity for automated defenses.

Beyond immediate AI threats, the impending post-quantum cryptography transition adds structural urgency. Tech giant Alphabet Inc. (NASDAQ: GOOGL) set an internal 2029 deadline to migrate its core authentication systems to quantum-resistant encryption, while separate research from Alphabet Quantum AI indicated that quantum decryption thresholds are significantly lower than earlier models assumed.

To tackle these dual pressures, Datavault AI Inc. (NASDAQ: DVLT) plans to embed CyberCatch’s SaaS continuous compliance and cyber risk engine across its broader software suite. The platform will serve as the defensive backbone for Datavault’s DataValue, DataScore, and Information Data Exchange (IDE) running on its SanQtum quantum-resistant, zero-trust edge architecture, as well as its Acoustic Sciences division featuring WiSA, ADIO, and Sumerian technologies.

Rather than relying on traditional, once-a-year manual penetration testing, CyberCatch utilizes specialized agentic AI to run continuous attack simulations across outside-in, inside-out, and social engineering dimensions. This automated testing yields real-time Cyber Hygiene and Cyber Breach Scores mapped against regulated frameworks like NIST CSF 2.0, CMMC 2.0, ISO 27001, HIPAA, and PCI DSS. Furthermore, CyberCatch is adapting its patent-pending multi-authority attribute-based encryption with revocation (MARS-MABE) technology to achieve quantum resistance, enabling instant, fine-grained access revocation without requiring full dataset re-encryption.

Post-closing leadership will see CyberCatch founder, Chairman, and Chief Executive Officer Sai Huda assume the role of President of the San Diego subsidiary, reporting to Datavault AI CEO Nathaniel T. Bradley. Huda previously founded Compliance Coach, which was acquired by financial services leader Fidelity National Information Services, Inc. (NYSE: FIS).

The acquiring platform inherits an impressive advisory panel, including Tom Ridge, former Governor of Pennsylvania and first Secretary of the U.S. Department of Homeland Security; Dr. Marv Langston, former DARPA Information Systems Director and U.S. Navy Cybersecurity Chief; and Scott Tait, former U.S. Navy Commander and Pentagon Joint Chiefs National Security Advisor. Commercial distribution is reinforced through existing reseller networks, including Speridian Technologies and federal agency advisor Sterling Advisors Group.

The definitive agreement remains subject to customary closing conditions, including approvals from CyberCatch Holdings, Inc. (TSXV: CYBE | OTCQB: CYBHF) shareholders, the Supreme Court of British Columbia, the TSX Venture Exchange, and applicable regulatory bodies. Once finalized, the transaction will establish an integrated pipeline spanning secure edge compute, high-performance data analytics, and continuous compliance attestation across defense, healthcare, financial services, and energy sectors.
